data-start=\"201\" data-end=\"204\" />For the purposes of this Agreement, the following words and expressions shall have the meanings set out below, in a clear manner that shall not be subject to interpretation or construction other than as expressly stated herein:\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"433\" data-end=\"2153\">\r\n\u003Cli data-start=\"433\" data-end=\"606\">\r\n\u003Cp data-start=\"436\" data-end=\"606\">\u003Cstrong data-start=\"436\" data-end=\"456\">The Application:\u003C/strong>\u003Cbr data-start=\"456\" data-end=\"459\" />Means the electronic platform “Mission” (mobile application / website) which operates as an intermediary between the Client and the Professional.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"608\" data-end=\"732\">\r\n\u003Cp data-start=\"611\" data-end=\"732\">\u003Cstrong data-start=\"611\" data-end=\"626\">The Client:\u003C/strong>\u003Cbr data-start=\"626\" data-end=\"629\" />Any natural person who uses and benefits from the Application to request services from Professionals.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"734\" data-end=\"863\">\r\n\u003Cp data-start=\"737\" data-end=\"863\">\u003Cstrong data-start=\"737\" data-end=\"758\">The Professional:\u003C/strong>\u003Cbr data-start=\"758\" data-end=\"761\" />Any natural person who has created an account on the Application as an independent service provider.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"865\" data-end=\"1004\">\r\n\u003Cp data-start=\"868\" data-end=\"1004\">\u003Cstrong data-start=\"868\" data-end=\"881\">The User:\u003C/strong>\u003Cbr data-start=\"881\" data-end=\"884\" />Means the Professional or the Client, being the parties who use the Mission Application and benefit from its services.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"1006\" data-end=\"1129\">\r\n\u003Cp data-start=\"1009\" data-end=\"1129\">\u003Cstrong data-start=\"1009\" data-end=\"1022\">The Task:\u003C/strong>\u003Cbr data-start=\"1022\" data-end=\"1025\" />Any work, consultation, or service provided by the Professional to the Client through the Application.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"1131\" data-end=\"1226\">\r\n\u003Cp data-start=\"1134\" data-end=\"1226\">\u003Cstrong data-start=\"1134\" data-end=\"1161\">Application Management:\u003C/strong>\u003Cbr data-start=\"1161\" data-end=\"1164\" />The entity that owns and operates the “Mission” Application.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"1228\" data-end=\"1643\">\r\n\u003Cp data-start=\"1231\" data-end=\"1643\">\u003Cstrong data-start=\"1231\" data-end=\"1247\">Arbitration:\u003C/strong>\u003Cbr data-start=\"1247\" data-end=\"1250\" />An in-Application procedure through which either party (Professional / Client) may submit an objection regarding a matter that has given rise to a dispute between them, whereby the Application Management shall review the chat conversation within the Application and issue the proper decision in accordance with what was agreed between the parties prior to commencing performance of the Task.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"1645\" data-end=\"1856\">\r\n\u003Cp data-start=\"1648\" data-end=\"1856\">\u003Cstrong data-start=\"1648\" data-end=\"1657\">Chat:\u003C/strong>\u003Cbr data-start=\"1657\" data-end=\"1660\" />A feature developed within the Application enabling both parties (Professional / Client) to communicate in order to determine the type, nature, value, and duration of the Task to be agreed upon.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"1858\" data-end=\"2038\">\r\n\u003Cp data-start=\"1861\" data-end=\"2038\">\u003Cstrong data-start=\"1861\" data-end=\"1888\">Application Commission:\u003C/strong>\u003Cbr data-start=\"1888\" data-end=\"1891\" />The percentage deducted from the service value and payable to the Application Management in consideration of its intermediary and marketing role.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"2040\" data-end=\"2153\">\r\n\u003Cp data-start=\"2044\" data-end=\"2153\">\u003Cstrong data-start=\"2044\" data-end=\"2064\">Applicable Laws:\u003C/strong>\u003Cbr data-start=\"2064\" data-end=\"2067\" />Means the laws and regulations governing this matter in the Kingdom of Saudi Arabia.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"2155\" data-end=\"2158\" />\r\n\u003Cp dir=\"ltr\" data-start=\"2160\" data-end=\"2289\">\u003Cstrong data-start=\"2160\" data-end=\"2287\">Article (2): Scope of the Application and the Role of “Mission” as an Intermediary and Marketing Platform for Professionals\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"2291\" data-end=\"2870\">\r\n\u003Cli data-start=\"2291\" data-end=\"2631\">\r\n\u003Cp data-start=\"2294\" data-end=\"2631\">The “Mission” Application operates as a technical intermediary connecting Clients and Professionals and shall not be deemed a party to any service agreement concluded between the parties. The Application’s role shall be limited to providing the technical platform, collecting the commission, and managing related operational processes.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"2633\" data-end=\"2870\">\r\n\u003Cp data-start=\"2636\" data-end=\"2870\">The Application does not provide any services directly; rather, it enables communication, conclusion of the agreement between the parties, and marketing of Professionals based on the skill or specialization under which they operate.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"2872\" data-end=\"2875\" />\r\n\u003Cp dir=\"ltr\" data-start=\"2877\" data-end=\"2908\">\u003Cstrong data-start=\"2877\" data-end=\"2906\">Article (3): Restrictions\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"2910\" data-end=\"3072\">\r\n\u003Cli data-start=\"2910\" data-end=\"2985\">\r\n\u003Cp data-start=\"2913\" data-end=\"2985\">Providing services through companies or institutions is not permitted.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"2986\" data-end=\"3072\">\r\n\u003Cp data-start=\"2989\" data-end=\"3072\">The Professional must be an individual who satisfies the acceptance requirements.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"3074\" data-end=\"3077\" />\r\n\u003Cp dir=\"ltr\" data-start=\"3079\" data-end=\"3132\">\u003Cstrong data-start=\"3079\" data-end=\"3130\">Article (4): Acceptance of Terms and Conditions\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"3134\" data-end=\"3708\">\r\n\u003Cli data-start=\"3134\" data-end=\"3624\">\r\n\u003Cp data-start=\"3137\" data-end=\"3624\">Use of the Application by all Users (Professional / Client) constitutes an acknowledgment that they have read and understood all articles, clauses, and provisions herein, with an understanding that does not admit interpretation or construction other than what is expressly stated, and that they have accepted the same by their own valid free will without pressure, insistence, or compulsion from any person, and they undertake to apply and comply with all provisions as set out herein.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"3626\" data-end=\"3708\">\r\n\u003Cp data-start=\"3629\" data-end=\"3708\">The Application Management reserves the right to amend the Terms at any time.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"3710\" data-end=\"3713\" />\r\n\u003Cp dir=\"ltr\" data-start=\"3715\" data-end=\"3756\">\u003Cstrong data-start=\"3715\" data-end=\"3754\">Article (5): Amendments and Updates\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"3758\" data-end=\"4215\">\r\n\u003Cli data-start=\"3758\" data-end=\"4079\">\r\n\u003Cp data-start=\"3761\" data-end=\"4079\">The Application Management reserves the right to amend or update these Terms and Conditions and the Privacy Policy at any time. Such amendments shall become effective immediately upon publication on the Application, and continued use of the Application after publication shall constitute implicit acceptance thereof.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"4081\" data-end=\"4215\">\r\n\u003Cp data-start=\"4084\" data-end=\"4215\">The Application Management reserves the right to request updated documents from either party (Client / Professional) at any time.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"4217\" data-end=\"4220\" />\r\n\u003Cp dir=\"ltr\" data-start=\"4222\" data-end=\"4251\">\u003Cstrong data-start=\"4222\" data-end=\"4251\">Section Two: Terms of Use\u003C/strong>\u003C/p>\r\n\u003Cp dir=\"ltr\" data-start=\"4253\" data-end=\"4308\">\u003Cstrong data-start=\"4253\" data-end=\"4306\">Article (6): Account Registration and Obligations\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"4310\" data-end=\"4718\">\r\n\u003Cli data-start=\"4310\" data-end=\"4436\">\r\n\u003Cp data-start=\"4313\" data-end=\"4436\">The User (Client / Professional) shall provide true and accurate information when creating an account on the Application.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"4437\" data-end=\"4553\">\r\n\u003Cp data-start=\"4440\" data-end=\"4553\">The User shall bear full responsibility for maintaining the confidentiality of login information and passwords.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"4554\" data-end=\"4718\">\r\n\u003Cp data-start=\"4557\" data-end=\"4718\">The Application Management shall not be liable for any unauthorized use resulting from the User’s negligence in safeguarding the confidentiality of their data.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"4720\" data-end=\"4723\" />\r\n\u003Cp dir=\"ltr\" data-start=\"4725\" data-end=\"4780\">\u003Cstrong data-start=\"4725\" data-end=\"4778\">Article (7): Legal Eligibility to Use the Service\u003C/strong>\u003C/p>\r\n\u003Cp dir=\"ltr\" data-start=\"4782\" data-end=\"4941\">The User must have full legal capacity in accordance with the Applicable Laws in the Kingdom of Saudi Arabia and must be at least eighteen (18) years of age.\u003C/p>\r\n\u003Chr dir=\"ltr\" data-start=\"4943\" data-end=\"4946\" />\r\n\u003Cp dir=\"ltr\" data-start=\"4948\" data-end=\"5012\">\u003Cstrong data-start=\"4948\" data-end=\"5010\">Article (8): Use of the Service (Permitted and Prohibited)\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"5014\" data-end=\"5651\">\r\n\u003Cli data-start=\"5014\" data-end=\"5454\">\r\n\u003Cp data-start=\"5017\" data-end=\"5454\">The User (Client / Professional) undertakes to use the Application solely for lawful purposes in accordance with the Applicable Laws and instructions in the Kingdom of Saudi Arabia. Any violation or breach shall be borne solely by the committing party, whether the Professional or the Client, and neither the Application Management nor the entity owning the Application nor any employee or official shall bear any liability whatsoever.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"5456\" data-end=\"5651\">\r\n\u003Cp data-start=\"5459\" data-end=\"5651\">The Application Management reserves the right to terminate any account that violates these Terms and Conditions or the Usage and Privacy Policies published on the Application or the website.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Cp dir=\"ltr\" data-start=\"5653\" data-end=\"5683\">The User is prohibited from:\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"5684\" data-end=\"5917\">\r\n\u003Cli data-start=\"5684\" data-end=\"5758\">\r\n\u003Cp data-start=\"5687\" data-end=\"5758\">Publishing any unlawful, abusive, or public-morals-violating content.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"5759\" data-end=\"5824\">\r\n\u003Cp data-start=\"5762\" data-end=\"5824\">Using the Application for fraudulent or unlawful activities.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"5825\" data-end=\"5917\">\r\n\u003Cp data-start=\"5828\" data-end=\"5917\">Attempting to hack, disrupt, disable, or interfere with the Application or its systems.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"5919\" data-end=\"5922\" />\r\n\u003Cp dir=\"ltr\" data-start=\"5924\" data-end=\"6011\">\u003Cstrong data-start=\"5924\" data-end=\"6009\">Article (9): Intellectual Property and Reserved Rights of the Mission Application\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"6013\" data-end=\"6348\">\r\n\u003Cli data-start=\"6013\" data-end=\"6188\">\r\n\u003Cp data-start=\"6016\" data-end=\"6188\">All content, trademarks, software, and designs included within the Application are owned by the Application Management and are protected under intellectual property laws.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"6190\" data-end=\"6348\">\r\n\u003Cp data-start=\"6193\" data-end=\"6348\">Any use, copying, or republication of any part of the Application content without prior written permission from the Application Management is prohibited.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"6350\" data-end=\"6353\" />\r\n\u003Cp dir=\"ltr\" data-start=\"6355\" data-end=\"6413\">\u003Cstrong data-start=\"6355\" data-end=\"6411\">Article (10): Disclaimer and Limitation of Liability\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"6415\" data-end=\"7176\">\r\n\u003Cli data-start=\"6415\" data-end=\"6549\">\r\n\u003Cp data-start=\"6418\" data-end=\"6549\">The Application Management does not warrant that the service will be continuously available or free from errors or interruptions.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"6550\" data-end=\"6699\">\r\n\u003Cp data-start=\"6553\" data-end=\"6699\">The Application Management shall not be liable for any direct or indirect damages arising from the use of, or inability to use, the Application.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"6700\" data-end=\"6861\">\r\n\u003Cp data-start=\"6703\" data-end=\"6861\">In all cases, the liability of the Application Management shall be limited to the amount of commission received from the Task performed by the Professional.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"6862\" data-end=\"7007\">\r\n\u003Cp data-start=\"6865\" data-end=\"7007\">The Application is a marketing intermediary and shall not be deemed a direct party to the agreement between the Client and the Professional.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"7008\" data-end=\"7176\">\r\n\u003Cp data-start=\"7011\" data-end=\"7176\">The Application Management does not guarantee the quality of the service; rather, it guarantees fair mediation and arbitration procedures in the event of disputes.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"7178\" data-end=\"7181\" />\r\n\u003Cp dir=\"ltr\" data-start=\"7183\" data-end=\"7232\">\u003Cstrong data-start=\"7183\" data-end=\"7230\">Article (11): Verification and Data Updates\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"7234\" data-end=\"7577\">\r\n\u003Cli data-start=\"7234\" data-end=\"7365\">\r\n\u003Cp data-start=\"7237\" data-end=\"7365\">Verification of identity, data, and submitted documents shall be completed within a maximum period of three (3) business days.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"7366\" data-end=\"7455\">\r\n\u003Cp data-start=\"7369\" data-end=\"7455\">The Professional undertakes to update their data in the Application upon any change.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"7456\" data-end=\"7577\">\r\n\u003Cp data-start=\"7459\" data-end=\"7577\">Any falsification or submission of incomplete or incorrect data may result in account closure and legal proceedings.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"7579\" data-end=\"7582\" />\r\n\u003Cp dir=\"ltr\" data-start=\"7584\" data-end=\"7641\">\u003Cstrong data-start=\"7584\" data-end=\"7641\">Section Three: Relationship Between the Three Parties\u003C/strong>\u003C/p>\r\n\u003Cp dir=\"ltr\" data-start=\"7643\" data-end=\"7699\">\u003Cstrong data-start=\"7643\" data-end=\"7697\">Article (12): Rights and Obligations of the Client\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"7701\" data-end=\"8170\">\r\n\u003Cli data-start=\"7701\" data-end=\"7838\">\r\n\u003Cp data-start=\"7704\" data-end=\"7838\">The Client is entitled to request services from Professionals through the Application in accordance with these Terms and Conditions.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"7839\" data-end=\"7927\">\r\n\u003Cp data-start=\"7842\" data-end=\"7927\">The Client undertakes to provide true and clear information when requesting a Task.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"7928\" data-end=\"8060\">\r\n\u003Cp data-start=\"7931\" data-end=\"8060\">The Client undertakes to pay the Task value and the commission due through the payment methods approved within the Application.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"8061\" data-end=\"8170\">\r\n\u003Cp data-start=\"8064\" data-end=\"8170\">The Client is entitled to rate the Task after completion in accordance with the available rating system.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"8172\" data-end=\"8175\" />\r\n\u003Cp dir=\"ltr\" data-start=\"8177\" data-end=\"8258\">\u003Cstrong data-start=\"8177\" data-end=\"8256\">Article (13): Rights and Obligations of the Professional (Service Provider)\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"8260\" data-end=\"8787\">\r\n\u003Cli data-start=\"8260\" data-end=\"8415\">\r\n\u003Cp data-start=\"8263\" data-end=\"8415\">The Professional is entitled to offer their services through the Application in accordance with the controls determined by the Application Management.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"8416\" data-end=\"8538\">\r\n\u003Cp data-start=\"8419\" data-end=\"8538\">The Professional undertakes to provide the agreed service with quality and professionalism within the specified time.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"8539\" data-end=\"8652\">\r\n\u003Cp data-start=\"8542\" data-end=\"8652\">The Professional undertakes not to provide any misleading information or unrealistic promises to the Client.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"8653\" data-end=\"8787\">\r\n\u003Cp data-start=\"8656\" data-end=\"8787\">The Professional is entitled to receive their financial dues after deduction of the commission due to the Application Management.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"8789\" data-end=\"8792\" />\r\n\u003Cp dir=\"ltr\" data-start=\"8794\" data-end=\"8905\">\u003Cstrong data-start=\"8794\" data-end=\"8903\">Article (14): The Role of “Mission” as an Intermediary and Disclaimer of Direct Liability for the Service\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"8907\" data-end=\"9622\">\r\n\u003Cli data-start=\"8907\" data-end=\"9039\">\r\n\u003Cp data-start=\"8910\" data-end=\"9039\">The role of the Application shall be limited to technical and administrative mediation between the Client and the Professional.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"9040\" data-end=\"9168\">\r\n\u003Cp data-start=\"9043\" data-end=\"9168\">The Application shall not be responsible for the quality of the Task or the Professional’s compliance with its performance.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"9169\" data-end=\"9303\">\r\n\u003Cp data-start=\"9172\" data-end=\"9303\">The Application shall not assume any legal obligations arising from the direct agreement between the Client and the Professional.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"9304\" data-end=\"9525\">\r\n\u003Cp data-start=\"9307\" data-end=\"9525\">The Application Management shall have the exclusive right to review the agreement concluded between the Professional and the Client and to issue the arbitration decision based on what is specified in the in-app chat.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"9526\" data-end=\"9622\">\r\n\u003Cp data-start=\"9529\" data-end=\"9622\">Any agreement concluded outside the Application chat shall not be recognized or considered.\u003C/p>\r\n\u003C/li>\r\n\u003C/ol>\r\n\u003Chr dir=\"ltr\" data-start=\"9624\" data-end=\"9627\" />\r\n\u003Cp dir=\"ltr\" data-start=\"9629\" data-end=\"9684\">\u003Cstrong data-start=\"9629\" data-end=\"9682\">Article (15): Payment Obligations and Commissions\u003C/strong>\u003C/p>\r\n\u003Col dir=\"ltr\" data-start=\"9686\" data-end=\"10074\">\r\n\u003Cli data-start=\"9686\" data-end=\"9805\">\r\n\u003Cp data-start=\"9689\" data-end=\"9805\">The commission due to the Application shall be determined as a percentage of the Task value, as agreed in advance.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"9806\" data-end=\"9935\">\r\n\u003Cp data-start=\"9809\" data-end=\"9935\">The User (Professional / Client) undertakes to pay all amounts through the payment channels approved within the Application.\u003C/p>\r\n\u003C/li>\r\n\u003Cli data-start=\"9936\" data-end=\"10074\">\r\n\u003Cp data-start=\"9939\" data-end=\"10074\">The
